Terms of Use

Purpose
NarwhalPod, a dba of Narwhal Law and Business Strategy LLC, is a curated network connecting nonprofits, small businesses, and changemakers with trusted, values-aligned professionals, creatives, and service providers.

These Terms of Use govern all public use of the NarwhalPod website and directory. By browsing or using this site, you agree to these Terms and to our Privacy Policy and Community Guidelines.

If you apply to be listed as a Pod Member, your participation is governed by a separate Member Agreement.

Free Public Access
The NarwhalPod directory is open to the public and free to browse. No account or payment is required to search or contact providers.

Scope of Our Community Guidelines

The Community Guidelines apply to all individuals who use, access, or interact with the NarwhalPod website or directory, including general visitors, users seeking services, and Pod Members. Pod Members are additionally bound by the Member Agreement and may face enhanced enforcement actions, including suspension or removal, for violations.

Membership for Service Providers
Service providers who wish to appear in the directory must apply, be approved, and sign a Member Agreement before their profile is published. That agreement outlines responsibilities, expectations, and enforcement mechanisms.

Independent Providers (Disclaimer)
Services offered through NarwhalPod are provided by independent third-party professionals. Narwhal Law and Business Strategy LLC does not supervise, control, direct, or guarantee the work, advice, conduct, or performance of any Pod Member.

Pod Members operate as independent businesses. Participation does not create a partnership, agency, joint venture, or employment relationship with Narwhal and does not guarantee referrals, revenue, or results.

Clients enter into separate agreements directly with Pod Members and are solely responsible for managing, evaluating, and overseeing those engagements.

No Endorsement or Guarantee
NarwhalPod does not endorse, certify, warrant, or guarantee the quality, legality, ethics, results, or fitness of any services provided by Pod Members. Users are responsible for performing their own due diligence before entering into any agreement.

Limitation of Liability
To the fullest extent permitted by law, Narwhal Law and Business Strategy LLC disclaims all liability for any actions, omissions, advice, services, losses, or outcomes connected to Pod Members or third-party providers. Narwhal is not liable for direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from your use of the directory or any third-party service.

If Narwhal is found liable despite this limitation, Narwhal's total liability will not exceed one hundred dollars.

Acceptable Use
You agree to use the platform only for lawful and legitimate purposes. You shall not, under any circumstances:

1. Misrepresent your identity, affiliation, qualifications, intent, or authorization in any way.
   

2. Engage in spam, mass outreach, unsolicited marketing, phishing, or disruptive promotional activity.
   

3. Access, collect, harvest, index, scrape, mine, or otherwise obtain data, content, metadata, or user information through automated tools or manual methods not expressly authorized in writing.
   

4. Post, upload, transmit, or distribute any content that is unlawful, harmful, harassing, defamatory, discriminatory, threatening, invasive of privacy, sexually explicit, hateful, fraudulent, deceptive, or misleading.
   

5. Interfere with, disrupt, disable, burden, or attempt to gain unauthorized access to the platform, user accounts, servers, networks, or security features.
   

6. Use the platform in any way that could cause harm, create risk, damage property, mislead users, or impair the safety, integrity, or operation of the platform or its community.
   

Violation of this section may result in immediate suspension or termination of access, removal of content, referral to law enforcement, and any additional civil or legal remedies available under Oregon or federal law.

Directory Content
Listings and profiles are submitted by members. NarwhalPod does not verify representations, credentials, professional licenses, insurance status, background checks, or other claims. Users assume all risk when engaging with providers.

Intellectual Property
The NarwhalPod name, branding, and site design are the property of Narwhal Law and Business Strategy LLC.

Members retain ownership of their submitted materials but grant NarwhalPod a non-exclusive, worldwide, royalty-free license to display their profile and related materials within the directory.

Payment Processor Disclosure
When membership payments launch, transactions will be processed through Stripe or Squarespace Payments. NarwhalPod does not store, handle, or retain credit card numbers.

Indemnification
You agree to indemnify, defend, and hold harmless Narwhal Law and Business Strategy LLC and its owners, officers, contractors, and affiliates from any claims, demands, losses, liabilities, damages, costs, or expenses, including reasonable attorneys' fees, arising from or related to your use of the site, your conduct, your interactions with Pod Members, or your violation of these Terms or any applicable law.

Changes to Terms
NarwhalPod may update or modify these Terms at any time. When changes are made, the Last Updated date will be updated. Continued use of the site after changes take effect constitutes acceptance of the revised Terms.

Force Majeure
NarwhalPod will not be liable for delays or failures caused by events outside its reasonable control, including natural disasters, public health emergencies, pandemics, labor disputes, government actions, civil unrest, power failures, or technology disruptions. Obligations will be suspended for the duration of the disruption.

Dispute Resolution
If any dispute arises between a user or Pod Member and NarwhalPod that cannot be resolved informally, both parties agree to first attempt good faith mediation.

Mediation will take place in Multnomah County, Oregon with a mutually agreed-upon mediator. Parties will share mediation costs equally.

If mediation fails, either party may pursue available legal remedies under Oregon law. Either party may seek injunctive relief if necessary to prevent imminent harm.

Severability and Waiver
If any term is found invalid or unenforceable, the remaining provisions remain in full force. A waiver of one breach is not a waiver of future breaches.

Governing Law
These Terms are governed by Oregon law, with venue exclusively in Multnomah County.

Electronic Communications
You agree to receive notices or communications electronically, including by email or through the website. Electronic communications satisfy any legal requirement that such notices be in writing.

Copyright and Reporting
If you believe any content hosted on NarwhalPod infringes your copyright, email info@narwhalstrategy.com with "Copyright Notice" in the subject line and include sufficient detail for review.

Benefit Company Statement
Narwhal Law and Business Strategy LLC is an Oregon Certified Benefit Company committed to advancing social and environmental good through its operations and partnerships.
